These Terms of Service ("Terms") govern your access to and use of the website, platform, and services operated by Ascend International Inc. ("Ascend," "we," "us," or "our") at ascend4all.com. By accessing our website or creating an account, you agree to be bound by these Terms. If you do not agree, do not use our services.

These Terms apply to all visitors, prospective clients, and subscribers. Retainer clients are additionally governed by a signed Master Service Agreement (MSA) and Statement of Work (SOW), which take precedence over these Terms where they conflict.

1. Acceptance of Terms

By using our website or services, you confirm that you are at least 18 years old, have the legal authority to enter into these Terms on behalf of yourself or your organization, and agree to comply with all applicable laws and regulations.

2. Description of Services

Ascend provides:

  • AI Automation Services โ€” design, build, and deployment of AI-powered business automation workflows, CRM configuration, and communication automation
  • SaaS Platform Access โ€” access to a GoHighLevel sub-account configured and managed by Ascend, including CRM, pipelines, email, SMS, calendars, forms, and automation tools
  • Professional Services โ€” one-time or recurring implementation, integration, and consulting services
  • Certification Programs โ€” structured AI automation training and certification tracks

Service features, limits, and availability vary by subscription plan. Ascend reserves the right to modify, suspend, or discontinue any service with reasonable notice.

3. Subscriptions & Billing

Plans

Ascend offers subscription plans (Spark, Rise, Ascend, Pinnacle) as described on our Pricing page. Plan features and pricing are subject to change with 30 days written notice.

Payment

  • Subscription fees are due on the 1st of each calendar month
  • Fees are non-refundable except as specified in Section 9 (Termination)
  • Ascend reserves the right to suspend platform access if payment is more than 10 days past due
  • Ascend may increase subscription fees with 30 days written notice; you may terminate within that notice period without penalty

Spark Free Tier

The Spark plan is provided free of charge and may be modified or discontinued by Ascend at any time with 30 days notice. No SLA or support commitment applies to the Spark tier.

4. Usage-Based Billing

Certain features are billed in addition to your monthly subscription based on actual usage, including but not limited to:

  • Outbound SMS and MMS messages
  • Inbound and outbound voice calls
  • Email sends beyond plan limits
  • WhatsApp messages
  • AI content credits

Usage rates are published on our website and may be updated with 30 days notice. You are responsible for monitoring your usage. Ascend is not liable for unexpected usage charges resulting from your automations or campaigns.

5. Plan Changes & Downgrades

Upgrades

Plan upgrades take effect immediately. Prorated charges apply for the remainder of the billing cycle.

Downgrades

Plan downgrades take effect at the start of the next billing cycle. Downgrading does not entitle you to a refund of fees already paid.

โš ๏ธ Important โ€” Data Loss on Downgrade

Downgrading to a lower plan tier may reduce contact limits, feature access, phone line allocations, and automation capabilities. You are solely responsible for exporting, deleting, or managing data that exceeds the new plan's limits before the downgrade takes effect. Ascend is not liable for data loss or business interruption resulting from a subscriber-initiated plan downgrade. All downgrades require a Plan Change Acknowledgment before processing โ€” contact your account manager.

6. Acceptable Use

You agree not to use Ascend's platform or services to:

  • Send spam, unsolicited messages, or communications that violate applicable law (including CAN-SPAM, TCPA, GDPR)
  • Transmit malware, viruses, or harmful code
  • Violate any third party's intellectual property, privacy, or other rights
  • Engage in fraudulent, deceptive, or illegal activities
  • Circumvent or attempt to circumvent any security or access controls
  • Resell or sublicense access to the platform without Ascend's prior written consent

A2P 10DLC Registration: If you send SMS through the platform, A2P 10DLC campaign registration is your responsibility. Ascend will assist with setup but cannot guarantee carrier approval timelines. Non-compliance with carrier requirements may result in message filtering or blocking โ€” Ascend is not liable for these outcomes.

You must comply with GoHighLevel's Terms of Service at all times. Violations may result in immediate suspension of your sub-account by GHL or Ascend.

7. Data Ownership

  • Your data: You retain full ownership of all data, contacts, and content within your sub-account. Ascend processes your data only to provide the agreed services.
  • Sub-account: Ascend owns the GoHighLevel agency account. Your sub-account and its contents belong to you.
  • Data export: You may request an export of your data at any time. Upon termination, Ascend will deliver a data export within 7 days of the service end date.
  • Phone numbers: Phone numbers provisioned under your sub-account will be released upon termination. You must initiate any port-out before the termination date โ€” Ascend cannot recover released numbers.

8. Intellectual Property

All content on ascend4all.com โ€” including text, graphics, logos, code, and design โ€” is owned by Ascend or its licensors. You may not copy, reproduce, or distribute it without written permission.

Ascend retains ownership of all methodologies, frameworks, automation templates, and know-how developed by Ascend. Client-specific deliverables created under a signed agreement become the client's property upon receipt of full payment, subject to the terms of that agreement.

9. Termination

Either party may terminate a subscription with 30 days written notice. Sub-account access continues through the end of the current billing period following notice. No refund is provided for the remaining period.

Ascend may terminate or suspend access immediately if you:

  • Materially breach these Terms and fail to cure within 5 business days of notice
  • Violate GoHighLevel's Terms of Service
  • Engage in fraudulent or illegal activity
  • Fail to pay fees for more than 30 days past due

If Ascend terminates without cause, any prepaid fees for unrendered services will be refunded.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASCEND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES โ€” INCLUDING LOSS OF DATA, LOST PROFITS, OR BUSINESS INTERRUPTION โ€” ARISING FROM YOUR USE OF OR INABILITY TO USE OUR SERVICES.

ASCEND'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM. ASCEND IS NOT LIABLE FOR OUTAGES OR INTERRUPTIONS CAUSED BY GOHIGHLEVEL, THIRD-PARTY CARRIERS, OR FORCE MAJEURE EVENTS.

Ascend does not warrant that AI automations will be error-free, uninterrupted, or produce specific business outcomes. Results depend on your industry, data quality, and business circumstances.

11. Disputes & Governing Law

These Terms are governed by the laws of [State/Jurisdiction]. Any dispute that cannot be resolved through good-faith negotiation within 30 days shall be submitted to binding arbitration in [State/Jurisdiction] under the rules of [Arbitration Body].

Class action waiver: You agree to resolve disputes with Ascend individually and waive any right to bring or participate in a class action lawsuit or class-wide arbitration.

12. Changes to These Terms

Ascend may update these Terms from time to time. We will notify you of material changes by email or a notice on our website at least 14 days before they take effect. Continued use of our services after the effective date constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you may terminate your subscription before the changes take effect.
